M&As: Lone Star acquires Radici’s speciality chemicals/polymers business; XSYS completes buy out of MacDermid Graphics

Lone Star Funds has announced that an affiliate of Lone Star Fund XII L.P. has entered into a definitive agreement to acquire the specialty chemicals and polymers business areas of Italian materials firm RadiciGroup. Terms were not disclosed. The transaction is expected to close in the second half of 2025, subject to customary closing conditions and regulatory approvals.

RadiciGroup, founded in 1941 and headquartered in Bergamo, Italy, is a family-owned company that has established itself in the polyamides (nylon) value chain. It serves customers in Europe, the Americas and Asia across the automotive, industrial, electrics/electronics and consumer goods markets.

Lone Star will acquire the Specialty Chemicals and High Performance Polymers Business Areas, while the Radici family will retain control of the Advanced Textiles Solutions Business Area.

In other news, German flexo/pre-press provider XSYS says that it has completed the acquisition of manufacturer of photopolymer plates and equipment used in flexographic printing MacDermid Graphics Solutions business (MGS) from Element Solutions Inc. Terms were not disclosed.

The combined business will have a workforce of approximately 850 employees worldwide and turnover of approximately EUR370 million.

Headquartered in Willstaett, Germany, XSYS provides solutions, including plates, sleeves, processors and workflow solutions. The broad XSYS portfolio comprises brands of consumables (nyloflex and nyloprint plates), plate processing equipment (ThermoFlexX, Catena and Xpress), surface screening software (Woodpecker), plate mounting (rotec), and washout solvents (nylosolv).
