M&As: Constantia Flexibles to acquire Drukpol Flexo; IMCD expands industrial footprint with acquisition of UK’s Orange Chemicals

INTERFOAM Vietnam 2023 to showcase advancements in Southeast Asia's foam industry

Constantia Flexibles, the third largest producer of flexible packaging worldwide, has signed an agreement to acquire the Polish company Drukpol Flexo. Terms were not disclosed.

“We are delighted by this opportunity to invest in the growth of our European flexo printing platform whilst reinforcing our successful footprint in Poland,” said Pim Vervaat, CEO of Constantia Flexibles.

Founded in 1992, the company has grown to 183 employees and is a well-established player in the Polish flexible packaging market with strong capabilities in flexo printing, extrusion lamination, and vertical integration. Drukpol Flexo mainly serves domestic food and HPC markets for local and international customers. It brings two additional sites close to Poland’s capital, Warsaw. Therefore, it is highly complementary to Constantia Flexibles’ existing sites Constantia Teich Poland in Rogowiec and Constantia ColorCap in Jejkowice.

By becoming part of Constantia Flexibles, Drukpol Flexo has the possibility to continue its growth and enhance its offering with the more sustainable product portfolio of Constantia Flexibles.

The acquisition is subject to competition clearance and other closing conditions, and completion is expected in Q2 2023.

In other news, Dutch speciality chemicals distributor IMCD N.V. says that its subsidiary IMCD UK has acquired 100% of the shares of Orange Chemicals Ltd, a distributor of performance chemicals throughout the UK and Ireland. Terms were not disclosed.

Since its inception in 1976, Orange Chemicals has built its presence across Coatings & Construction, Advanced Materials, and other industrial markets.

“Orange Chemicals brings a highly complementary portfolio of suppliers, products, and customers, in addition to excellent industry relationships, expertise, and a proven track record of steady growth. Joining forces with Orange Chemicals will enable IMCD UK to expand our customer offering and consequently accelerate our growth ambitions throughout the UK and Ireland”, said Paul Hanbury, Managing Director, IMCD UK.

Orange Chemicals, headquartered in Winchester, generated a revenue of approximately EUR30 million in financial year 2022 and adds seven employees to the IMCD UK team. The company has long-standing partnerships with leading global suppliers, which make it an ideal fit with IMCD UK.
